Executive Committee

The Executive Committee shall act between meetings of the Board of Directors or as otherwise provided in these bylaws and when acting in such capacity shall have the same authority as the Board of Directors subject to the same limitations as the Board of Directors and such other limitations as imposed by New York Not-for-Profit Corporation Law and by these Bylaws. The Executive Committee shall not have the authority to approve Bylaw Amendments or rule changes; the annual budget, unbudgeted expenditures over $150,000.00, or decisions that have a major financial impact; or the hiring or firing of the Chief Executive Officer. The Executive Committee must provide a summary report of its actions to the Board of Directors with seven (7) business days of each meeting.
